Bedgears Terms & Conditions
I hereby certify and agree as follows:
1. Customer represents that the information supplied in the Credit Application is in all respects complete, accurate, and truthful. Customer shall promptly notify Bedgear LLC (“Bedgear”), in writing, of any substantive changes to the information provided.
2. Customer shall immediately notify Bedgear of any changes to postal or email address, and, failing such notification, any notice to Customer is effectively sent if sent by post or email to Customer’s last known address.
3. Customer accepts all state sales tax liability with regards to shipments and sales to the consumer.
4. Customer understands that the information included in the credit application is to induce Bedgear to extend credit to Customer and is used and relied on by Bedgear in determining the amount, if any, and conditions of credit to be extended.
5. Credit limit and payment terms requested are contingent upon approval by Bedgear. Customer understands that Bedgear may cancel credit or modify credit terms at any time and for any reason without notice.
6. In the event credit is extended, Customer shall pay all invoices in full when due and all interest that is charged on overdue invoices and acknowledges that Bedgear may change such conditions from time to time. Standard payment terms are Net 30 for all businesses, unless agreed to in writing and signed by Bedgear. All accounts which are 15 days past due will be considered delinquent and are subject to review of credit privilege. An additional service charge of 1.5% monthly may be assessed on all overdue invoices.
7. Bedgear may suspend any and all services and/or provision of goods as the result of Customer’s untimely payment or performance, and/or Customer’s failure to abide by the conditions of the invoice or this credit agreement.
8. Dependent on current economic/world conditions and their effect on transportation prices, “Global Freight Surcharges” may be applied at the discretion of BEDGEAR.
1. Customer shall be unconditionally liable and promptly pay any and all penalties or late fees that may result from Customer’s untimely payment or performance, and/or Customer’s failure to abide by the conditions of the invoice or this credit agreement.
2. Customer understands that a $50 fee will be assessed on any Customer checks that are returned by the bank because of insufficient funds.
3. Any and all discrepancies found during the receipt of goods on an order by Customer must be submitted to Bedgear via email at customersupport@bedgear.com within 72 hours of receipt of goods in order for an investigation to be done. Bedgear will not accept short payment on invoices without prior agreement.
4. Should Bedgear refer Customer’s account to a collection agency and/or attorney to collect monies owed, Customer shall be unconditionally liable for and promptly pay all reasonable collection agency and legal fees and related disbursements. All disputes with Bedgear shall be governed by New York State laws, except its conflicts of laws principles, and the courts of Suffolk County, New York shall have exclusive jurisdiction for any such dispute.
5. The undersigned affirmatively states that they are authorized to execute this document on behalf of applicant and to obligate same for any credit extended thereto as a result of this application; and further, that the applicant on whose behalf this application is hereby made will continue to be bound and obligated for any credit previously advanced hereto.
6. We retain a purchase money security interest in all goods and accessories and all accessions and proceeds thereof to secure payment of any sums now or in the future owed to us. Upon request, you agree to sign any reasonable acknowledgement of our security interest as we may request. Our security interest attaches when the goods leave our dock. Buyer shall not allow the goods to become fixtures as defined by the local enactment of the UCC. We may proceed according to the local enactment of the UCC to enforce any UCC-1 financing statement covering the goods, including the use of self-help. If no UCC-1 financing statement has been filed, you authorize us to file a UCC-1 if a default occurs or if we reasonably believe your ability to pay within terms is jeopardized, and we may also accelerate any payments still owed to us and require any remaining balance to be paid in full. We may file such UCC-1 continuation statements as are necessary.

UNIVERSAL PRICING, INTERNET and INTELLECTUAL PROPERTY POLICIES Updated 5/2021

1. UNIVERSAL PRICING BEDGEAR® has adopted the following Universal Pricing Policy (“UPP”) which is applicable to any and all Dealers. “Dealers” or “Dealer” means any retailers, stores or dealers which purchase products to resell them to the public. BEDGEAR will not discuss any conditions of acceptance related to UPP, as they are nonnegotiable and will not be altered for any Dealers. This UPP supersedes any previous agreements or statements of policy which may have been in effect prior to this date.

2. PRODUCTS COVERED UPP applies to any products on the BEDGEAR 2023 Master Price List, Extreme Price List, Pet, Launchpad Price List and all future price lists.

3. ADVERTISING UPP applies to any form of in-store display, posters, print advertising, direct mail, circulars, magazine, catalogs, coupons, broadcast (radio and TV), banners, billboard or online (any web page accessible via the Internet.)

4. BRAND GUIDELINES, INTELLECTUAL PROPERTY & INTERNET

A. All use of the BEDGEAR brand, marks, logo(s), taglines, copy, images and artwork (“IP”) must comply with the published BEDGEAR brand guidelines. All content developed by a Dealer using BEDGEAR IP shall be the exclusive property of BEDGEAR.

B. We require the submission of all content prior to publication so that we can confirm the content meets our brand guidelines. We reserve the right to request changes to the content.

C. We do not allow sales / pass-through sales on any 3rd party E-commerce sites, namely Amazon, Wayfair, EBay, Walmart.com, Sears.com, etc.

D. Additional E-Commerce domains owned by the Dealer, but carrying another DBA name must be submitted, reviewed and approved by your BEDGEAR before sales can commence on those sites. Please speak with your Sales Representative for approval.

E. When possible, the BEDGEAR brand online should carry a BEDGEAR-approved landing page or web banner with current BEDGEAR IP and additional imagery and/or video as available.

5. PROMOTIONS

A. For close-out / special buy sales opportunities, product-related promotion strategies and other limited exceptions to UPP, please speak to your Sales Representative to secure inventory, designate acceptable time periods and secure written authorization from BEDGEAR.

B. During select promotional periods, BEDGEAR may authorize all Dealers to advertise approved BEDGEAR promotions in-store and online. Such promotional opportunity materials will be distributed to Dealers ahead of these events. Please speak with your Sales Representative for details.

6. COMPLIANCE Failure to comply with UPP, in-store or online, will lead to 2 requests from BEDGEAR to the Dealer for correction. Following the 2nd request, if the Dealer is still not compliant, a final notice will be sent advising that the account will be placed on hold until resolution is reached. BEDGEAR may not enforce UPP, or any part, for any reason and considering only its own interests and not any others’.

BEDGEAR shall support a Dealer in its promotion of the products by making available product racks, displays, decoration and other advertising material (“Sales Tools”) free of charge. All BEDGEAR Sales Tools are and remain the sole and exclusive property of BEDGEAR, and the Dealer and any third party shall not obtain any right or license therein. All BEDGEAR Sales Tools are to be used exclusively for the presentation of BEDGEAR products or for advertising purposes specified by BEDGEAR. The Dealer shall be solely liable for any and all damages to any BEDGEAR Sales Tools. Any transfer to a third party, modification and/or disposal of any BEDGEAR Sales Tools is prohibited without written permission from BEDGEAR. BEDGEAR has the unqualified right to examine, modify, exchange or remove any BEDGEAR Sales Tools at any reasonable time and for any reason. All BEDGEAR Sales Tools, in so far as they are not intended to be passed on to consumers, shall be promptly returned, in good condition, to BEDGEAR upon BEDGEAR’s request.

BEDGEAR may update this policy at any time and without any prior notice to Dealers. All updates to this policy document and these guidelines will become effective upon publication. This policy applies in full upon activation of your BEDGEAR DEALER account.
